NOTICE TO BIDDERS

The City of Erlanger, 505 Commonwealth Avenue, Erlanger, KY, 41018, hereby solicits and advertises for bids from qualified, experienced construction contractors for the design and construction of approximately six (6) miles of shared, non-motorized natural surface trails, creek crossings, and trail heads within the City’s “Eons Adventure Park” (the Park) boundaries, as described and specified in the bid packet entitled City of Erlanger Eons Park Natural Surface Muti-Use Trail System Bid, copies of which are available at the office of the Erlanger City Clerk, 505 Commonwealth Avenue, Erlanger, KY 41018, 859-727-2525.

All bids and proposals in response to this advertisement and solicitation must be received by the Erlanger City Clerk on or before 10:00 a.m. on August 6, 2026, on a form provided by the Erlanger City Clerk and completed according to the Bid Instructions provided thereby, including all required attachments; and enclosed within a sealed envelope, with the words “Eons Adventure Park – Trail System Bid” written, typed or otherwise indicated on the outside of the envelope. Any bids received after 10:00 a.m. on August 6, 2026 will not be considered.

The City of Erlanger reserves the right to not only reject any and all bids and proposals submitted in response to this advertisement and solicitation, for any reason or no reason; but especially those that are not in conformity with either the Bid instructions, guidelines, or the specifications provided by the City, but also to accept bids and proposals submitted in response to this advertisement and solicitation that do not conform to those Bid instructions and specifications.

INSTRUCTIONS TO BIDDERS

1. Read the City of Erlanger Eons Park Natural Surface Muti-Use Trail System Bid Packet, as included and made a part hereof by reference. The items included in this packet describe the specifications and contractual provisions related to your bid proposal. Any changes in those specifications or contractual provisions may invalidate any bid or proposal that includes those changes.

2. Complete the Bid Form attached hereto and make a part hereof by reference by providing the following information in the blanks for it:

2.1 The complete name, address, telephone number and e-mail address of the Contractor.

2.2 The signature of the signatory.

2.3 The printed name of the signatory.

2.4 The date.

3. Complete the Agreement attached hereto and made a part hereof by reference by:

BID FORM

The undersigned Bidder hereby bids, offers, and proposes to complete the project as specified in the document entitled City of Erlanger Eons Park Natural Surface Muti-Use Trail System Bid, attached hereto and made a part hereof by reference, for the “Total Bid Price” indicated; and pursuant to the terms and provisions of the Bid Agreement attached hereto and made a part hereof by reference.

This bid, offer, and proposal is irrevocable until the expiration of sixty (60) consecutive calendar days after the date of this bid, offer and proposal and may be accepted by the City of Erlanger at any time prior thereto, provided that a copy of the Bid Agreement attached hereto is signed on behalf of the City of Erlanger by the Mayor thereof and a copy provided to the Bidder.

GENERAL CONDITIONS

Project: Eons Adventure Park – Natural Surface Multi-Use Trail System Bid Due Date / Time; Thursday, August 6th, 2026

10:00 AM – Local Time

Sealed bids will be received at the City of Erlanger, 505 Commonwealth Avenue, Erlanger, Kentucky 41018.

Bid packets are available, at no cost, in PDF format or as hard copies from the City of Erlanger’s City Clerk’s office, 505 Commonwealth Avenue, Erlanger, Kentucky 41018.

All bid packets must be obtained from the City of Erlanger, City Clerk’s Office.

Bids submitted for this project shall include all material, labor and equipment / installation required to complete all elements of the bid project.

The City reserves the right to reject any and all bids. The selected bid will be determined based on quality, experience, and cost.

SECTION 1 – INTRODUCTION & PROJECT OVERVIEW

The City of Erlanger, Kentucky is soliciting bids from qualified, experienced construction contractors for the design and construction of approximately six (6) miles of shared, non-motorized natural surface trails, creek crossings and trail heads within the City’s “Eons Adventure Park” (the Park) boundaries. The completed trail system will be designed to accommodate mountain bikers and pedestrians of all skill levels.

The envisioned trail system will consist of an interconnected network of multi-use, natural-surfaced paths. Originating from several trailheads, these paths will link the Park to the Cherry-Hill subdivision, Erlanger Commerce Center, Dynamic Catholic, and Sterling Cut Glass developments. Additionally, this project will include the design and construction of a trail that parallels an existing asphalt multi-use path, providing park users with an alternative route along the main “spine” of the system.

All trail design and construction shall comply with the International Mountain Bicycling Association (IMBA) Trail Standards, as well as all applicable federal, state and local regulations. Furthermore, all work must adhere to the technical specifications provided herein.

SECTION 2 – BACKGROUND & PROJECT CONTEXT

2.1 Eons Adventure Park

Eons Adventure Park is an approximately 700 +/- acre public recreational designated area located in Erlanger, Kenton County, Kentucky. The Park currently features a dog park, bike park, and asphalt multi-use path. The Park is bordered by the Cherry Hill subdivision and Sterling Cut Glass and Dynamic Catholic Developments to the West, and Erlanger Commerce Center to the East.

2.2 Project Purpose & Community Benefit

The proposed natural surface trail system will;

Expand recreational opportunities for cyclists and pedestrians of all skill levels.
Create a connected, walkable / ridable network of trail systems linking existing residential neighborhoods and commercial developments to the Park.
Provide an additional natural surface trail system to the existing asphalt mulit-use path experience.
Support health, wellness and active transportation goals of the Erlanger community.
Stimulate area economic activities through recreational tourism and increase Park visitation.
Foster stewardship of natural open space within an urban/suburban context.

2.3 Existing Conditions

A new designated trail shall be constructed parallel to an existing asphalt multi-use path (the spine) that currently traverses the length of the park. This new trail shall run alongside the existing path in its entirety.

Site visits are strongly encouraged prior to bid submission. Bidders can contact the City’s project manager, Quinn Mortenson @ 859 – 250 – 3767 to schedule a site walk through.

SECTION 3 – SCOPE OF WORK

3.1 Overview

The contractor shall furnish all material, labor and equipment / installation required to complete all elements of the bidded project as necessary to complete the following scope of work;

Final trail design and field alignment. Field place centerline flags @ 100’ intervals throughout the length of each trail. Site review each trail with the City’s project manager prior to trail construction.
Construction of approximately six (6) miles (31,680 l.f.) of natural surfaced multi-use trail.
Design and construct primary trailhead to be located in the Cherry Hill Subdivision.
Design and construct two (2) secondary trailheads to be located at the Erlanger Commerce Center and Dynamic Catholic / Sterling Cut Glass developments.
Develop / design multiple creek crossing structures for each – perennial, intermittent and dry creek locations. Design should include rolling dips, water bars, culverts, armored crossings, timber bridges and boardwalks.
Contractor to be responsible for all erosion control measures, site restoration of all disturbed areas.

3.2 Trail Network – Named Trail Segments

The proposed six (6) mile trail system shall be a master planned network of trails that facilitate wayfinding, programming and user identity with Eons Adventure Park. The following trail segments are proposed and final layout and design, names and lengths are subject to refinement during the design phase of the project.

Note; Trail names are working titles and are subject to approval by the City. Total targeted network length of trails is approximately six (6) miles. The exact total length will be determined upon Contractor’s final trail design and City’s approval.

3.3 Trail Design Standards

3.3.1 Tread Widths

All trails shall be constructed as “shared-use” mountain bike and pedestrian facilities. The minimum tread widths shall be designed as follows;

Beginner (Green) trails are to be a minimum cleaded tread width of 48 inches – this will facilitate side by side bassing of cyclists and pedestrians.
Intermediate (Blue) trails are to be constructed with a minimum tread width of 48 inches
Parallel asphalt path / trail (Creekside Connector) shall be constructed a tread width of 48 inches
Trailhead approach segments; 60 inches minimum

3.3.2 Grade & Alignment

All trails shall be designed and constructed in accordance with IMBA Trail Standards, including;

Maximum sustained grade: 10% for beginner trails, 15% for intermediate trails
Maximum grade at any point not to exceed 20% for a distance no more than 10 linear feet
IMBA – Half Rule; No grade shall exceed half its adjacent sideslope gradient
IMBA – Outslope; All treads shall have a 3% to 5% outslope to encourage natural drainage
IMBA – Fall-lines; All trails shall be designed and constructed traversing contours and avoiding fall-lines

3.3.3 Drainage

Proper drainage is critical to trail sustainability. Contractors shall incorporate;

Rolling dips to minimum every 100 feet on sustained grades
Water bars, broad-based dips, or cross-drains where terrain demands
Rock or aggregate armoring at drainage crossings and wet areas
Culvert or elevated bridge crossings at perennial and intermittent stream crossings
All crossings shall comply with applicable stream disturbance permits

3.3.4 Clearing & Grubbing

Minimum vertical clearance; 8 feet above tread surface
Minimum horizontal clearance; 2 feet beyond tread edge on each side
All root balls, stumps, and organic material to be removed from tread
Tread shall be compacted to stable, mineral soil base

3.4 Trailhead Development

3.4.1 Trailhead – Cherry Hill Subdivision

The Cherry Hill trailhead shall serve the residents of the City’s Cherry Hill subdivision and shall include the following;

City of Erlanger to provide all final trailhead design, site boundary survey along with all necessary benchmarks and elevations. Contractor to construct “Flagstone” trail entrance / welcoming area
Trail Kiosk – City to provide / contractor to install
Bike repair station – City to provide / contractor to install
Bike Rack – City to Provide / contractor to install
Trash Can – City to provide and install
Wayfinding / reassurance signage at all trail junctions – City to provide / contractor to install
Site furnishing – City to provide and install
Site grading and restoration – contractors responsibility
City of Erlanger shall provide all coordination, and obtain any necessary easements or agreements from property owners

3.4.2 Trailhead – Erlanger Commerce Center

The Erlanger Commerce Center trailhead shall provide access to all Erlanger Commerce Center businesses and shall include the following;

City of Erlanger to provide all final trailhead design, site boundary survey along with all necessary benchmarks and elevations. Contractor to construct “Flagstone” trail trail entrance / welcoming area
Trail Kiosk – City to provide / contractor to install

3.4.3 Trailhead – Dynamic Catholic & Sterling Cut Glass

The Dynamic Catholic & Sterling Cut Glass trailhead shall provide access to both the Dynamic Catholic and Sterling Cut Glass properties and shall include the following;

City of Erlanger to provide all final trailhead design, site boundary survey along with all necessary benchmarks and elevations. Contractor to construct “Flagstone” trail trail entrance / welcoming area
Trail Kiosk – City to provide / contractor to install

City of Erlanger shall provide all coordination, and obtain any necessary easements or agreements from property owners

3.5 Trail Signage & Wayfinding

The City of Erlanger to provide and the Contractor is to install the following;

Trail distance / difficulty markers – every .25 mile
Directional / reassurance signage – at all trail intersections
Trail name identification signs – trail entry and exit locations
Trail Kiosks – All trailheads
Emergency access markers with GPS coordinates or landmark references
Regulatory signs / trail rules – All trailheads

3.6 Parallel Trail – Creekside Connector

One trail segment shall be constructed to run parallel and the entire length of the existing asphalt multi-use path. The trail shall;

Maintain a consistent separation, where applicable, of 10-20 feet from the existing asphalt trail edge
Be constructed as a natural-surfaced, soft -surface alternative to the existing asphalt path
Provide cross-connections to the existing asphalt path at appropriate 500-800 feet intervals for user safety and access
Install all necessary signage as outlined in section 3.5 Trail Signage & Wayfinding (located herein)
Trail shall have a minimum 48 inch tread width to accommodate shared MTB and pedestrian use

3.7 Environmental Compliance

The Contractor shall be responsible for compliance with all environmental regulations throughout the project, including;

NPDES Construction Stormwater Permit (as required) – SWPPP prior to ground disturbance
U.S. Army Corps of Engineers section 404 permit as necessary for any impacts to waters of the U.S. or wetlands

3.8 Accessibility Considerations

While natural-surface trails are not required to be fully ADA-accessable, the Park’s committed to maximizing inclusive access. The Contractor shall;

Design beginner trail segments (Green) to the greatest extent feasible within AASHTO and FSTAG accessible route guidelines
Ensure all trailheads meet ADA Standards for Accessible Design
Identify segments or short accessible loops suitable for adaptive cycling

SECTION 4 – PROJECT SCHEDULE

The following represents the anticipated project schedule. Dates, other than the Project Completion, are subject to adjustment.

The project deadline is not to exceed June 30th, 2027. The project deadline will not be extended for any weather delays such as wet or unforeseen conditions.

SECTION 5 – BID SUBMISSION REQUIREMENTS

5.1 Required Bid Contents

Cover Letter – Provide company name, address, primary contact, and a brief statement of interest and qualifications.
Project Understanding and Approach – Demonstrate understanding of the Eons Adventure Park trail project and how final alignment meets the overall objective of the park. Provide outline of bidded project approach including methodology and phasing.
Qualifications & Experience – Provide a company overview including years of experience in the area of trail development. Include a comprehensive list (include project name, location, lengths, project cost for each) list of three comparable natural-surface trail design and construction completed in the past seven years.
Key Personnel – Identify the Project Manager, Lead Crew Supervisor along with any other key personnel specialized in trail design and construction.
Subcontractors – List of all proposed subcontractors, scope of work along with a brief statement of qualifications.
Project Schedule – Provide a detailed schedule identifying key project milestones from notice to proceed through final project closeout.
Pricing Bid – Complete and submit the Pricing Sheet (Exhibit A) including herein this Bid. All costs provided shall include labor, equipment, materials, overhead & Profit.

5.2 Bid Format

All bids shall be submitted in a sealed envelope or package clearly marked

“EONS ADVENTURE PARK – TRAIL SYSTEM BID – DO NOT OPEN”

Submit two (2) bound hard copies.

5.3 Questions & Clarifications

All questions and clarifications regarding this bid must be submitted in writing via email to the City’s Project Manager @ the following address; quinn.mortenson@erlangerpw.com no later than August 4th, 2026 at 5:00 PM EST. Oral inquires will not be accepted. Responses to all questions & clarifications will be posted as a written Addendum to all registered bid packet holders.

5.4 Pre-Bid Meeting

The City will host a “pre-bid” site meeting on July 30th, 2026 @ 10:00 AM. This on-site pre-bid meeting is NOT mandatory. The site meeting will be held;

Date @ Time – July 30th, 2026 @ 10:00 AM
Location – Erlanger Dog Park located at 4200 Houston Road, Erlanger – Ky, 41018 (intersection of Houston Road and Sycamore Tree Lane).

Note: This meeting will include a site walk – please prepare as necessary.

SECTION 6 – BID EVALUATION / SELECTION PROCESS

6.1 Evaluation Committee

The City’s Bid Evaluation and Selection Committee will be composed of the City Mayor, City Administrator and Public Works Director.

6.2 Evaluation Criteria

The City’s Evaluation Committee will properly evaluate and make final recommendations based on each properly submitted bidding company’s relevant experience and qualifications, technical project approach, project schedule and overall costs.

6.3 Selection Process

The City’s Evaluation and Selection Committee reserves the right to conduct in-person interviews with the top-ranked bidding companies prior to final selection. Award will be made to the responsible bidder who is deemed most advantageous to Eons Adventure Park. The City reserves the right to reject any and all bids.

SECTION 7 – GENERAL TERMS & CONDITIONS

Contract Type

The selected contractor will be awarded a fixed-price construction contract based on their bid submitted costs. Any and all change orders shall be processed per the City’s standard change order policy. Unit prices provided in the bid shall serve as the basis for any contract modifications.

Payment Terms

Progress payments will be made on a monthly based cycle as per completed work quantity percentages. A 5% retainage will be withheld from each payment and released upon final acceptance of work. Final payment will only be processed after the City receives Contractor’s Aﬃdavit of Release of Liens from all project subcontractors.

Performance & Warranty

The contractor shall warrant all work for a period not less than one (1) year from the date of ﬁnal acceptance. Any trail segment, drainage feature, or trailhead component that fails due to construction defects during the warranty period shall be repaired or

replaced at the contractor’s expense. Trail segments shall demonstrate proper drainage and structural tread stability for a minimum of one full season weather cycle.

Prevailing Wage

Not applicable to this project.

Non-Discrimation

The contractor, nor their subcontractors, shall discriminate against any employee or applicant for employment on the basis of race, color, religion, sex, national origin,

disability, or any other protected classiﬁcation in violation of applicable federal, state or local laws.

Subcontracting

The contractor shall not subcontract any portion of the work without notifying and receiving written approval of the City. All subcontractors are subject to the same

requirements as the prime contractor. The prime contractor remains fully responsible for the performance of all subcontractors.

Liquidated Damages

In the event the contractor fails to complete the project within the speciﬁed contract time frame, the City may assess liquidated damages in the amount of $500.00 per

calendar day until Substantial Completion is achieved.

SECTION 8 – INSURANCE REQUIREMENTS

8.1 Insurance, Contractor’s Coverage and Cancellation Prevision

The Contractor will not be permitted to commence work under this contract until which time that all insurance requirements as detailed within these documents and as such insurance has been approved by the City of Erlanger, nor shall the Contractor allow any sub-contractors to commence work on this project until all similar insurance required of the sub-contractor has been so obtained and approved.

If a sub-contractor does not take out insurance in his name and his principal contractor wished to provide insurance protection for such sub-contractor and sub-contractor’s employees, a rider must be attached to the principal contractor’s policy, which rider must identify their persons thereby covered, or else the principal contractor must take out appropriated policies in the name of the sub-contractor. The instructions are not retroactive in insurance heretofore approved.

Certificates of insurance coverage shall include a statement of alteration or cancellation provisions of the policy, sufficient to show that such provisions comply with the requirements stated above.

8.2 Insurance Compensation

The Contractor shall take out and maintain during the entire duration of this contract, Workman’s Compensation Insurance for all employees employed at the site of the project, and, in any case work is sublet, the Contractor shall require the sub-contractor similarly to provide Workman’s Compensation Insurance for all the latter’s employees unless such employees are covered by the protection afforded by the Contractor. In case any class of employees engaged in hazardous work under this contract at the site of the project is not protected under this Workman’s Compensation statute, the Contractor shall provide, and shall cause each sub-contractor to provide adequate coverage of the protection of his employees not otherwise protected.

8.3 Insurance, Public Liability, Professional Liability

The Contractor shall take out and maintain during the life of this contract such Public Liability (Bodily Injury and Property Damage) Insurance as shall protect him and any sub-contractor performing work covered by this contract. If the Contractor uses a professional surveyor, engineer or architect as a sub-contractor, professional liability Insurance shall be required.

SECTION 9 – OPTIONAL: TRAIL MAINTENANCE PLAN

Bidders are encouraged, but not required, to include as an optional addendum, a bidded annual trail maintenance program for the completed trail system. A maintenance plan, if provided, should address:

Seasonal trail inspection schedule and priorities
Drainage feature clearing and maintenance frequencies
Tread repair protocols (ruts, erosion, slough)
Signage inspection and replacement schedules
Vegetation management (canopy trimming, invasive species)
Estimated annual maintenance cost per trail mile
Staff / volunteer crew training recommendations

The City intends to enter into a long-term maintenance agreement with the construction contractor or a qualified trail maintenance firm following project completion.

BID AGREEMENT

This Agreement is by and between the CITY OF ERLANGER, a Home Rule city in Kenton County, Kentucky, which shall hereinafter be identified and referred to as the “CITY” and

the personal representatives, heirs, legatees, devisees, successors and assigns thereof, who shall hereinafter be referred to collectively as the “CONTRACTOR”;

WITNESSETH:

WHEREAS, the City has provided for the making of a public improvement known as the “City of Erlanger Eons Park Natural Surface Multi-Use Trail System Project, hereinafter referred to as the “Project”, described in the bid packet; and

WHEREAS, on July 23, 2026, the City advertised in LinkNKY and on the City’s website at erlangerky.gov for bids to provide all of the labor, materials, tools, equipment, supplies, and personnel necessary for the Project, a copy of the bid packet is attached hereto and made a part by reference; and

WHEREAS, on August 6, 2026, the City received the bid from the Contractor attached hereto and made a part hereof by reference; and

WHEREAS, the bid of the Contractor, in the amount of ______________, was approved by the Mayor of the City of Erlanger; and

NOW, THEREFORE, in consideration of the mutual and reciprocal covenants herein, the City and the Contractor hereby agree as follows:

1.0 Contractor’s Work

The Contractor shall and hereby agrees to promptly and efficiently provide, furnish and deliver in the highest and best manner, all labor, material, tools, equipment, supplies, and personnel necessary for the Project, all of which shall hereinafter be identified simply as the “Work of the Contractor” and shall include all items set forth in both the bid packet and bid submitted by the Contractor; and

2.0 Time of the Work of the Contractor

The Work of the Contractor shall begin after this Agreement is signed on behalf of the City and a copy thereof mailed to the Contractor; and the project must be completed by June 30, 2027. Time is of the essence for this project and in as much, the Contractor shall pay liquidated damages in the amount of $500.00 per day, for each day that extends past June 30, 2027.

3.0 Contractor’s Insurance

Prior to and during the Work of the Contractor, the Contractor shall cause to be issued and maintained the following policies of insurance through companies approved by the City in which the coverage of the Contractor is primary and noncontributory in regard to all liability coverage, including, without limitation, excess and umbrella policies:

Commercial General Liability insurance on ISO form CG00011001 (or a substitute providing equivalent coverage). The limit shall not be less than $1,000,000 per occurrence and $2,000,000 aggregate. The City of Erlanger must be named as an Additional Insured; the certificate shall specify that the coverage afforded is Primary and Noncontributory with respect to any other coverage available to the City of Erlanger.
Comprehensive owned and non-owned automobile liability insurance with a minimum combined single limit of $1,000,000.
Workers Compensation Coverage specific to the State of Kentucky.
Employer’s Liability Coverage with minimum limits of:
- $1,000,000 Each Accident Limit
- $1,000,000 Each Employee for Injury by Disease Limit
- $1,000,000 Aggregate for Injury by Disease Limit
If you are performing construction services, the additional insured status must be provided by a combination of CG20100707 and CG20370704.
If you are performing construction services that include any building envelope, fire suppression, mechanical, plumbing, site work, or environmental/abatement/remediation work, you must also provide evidence of Contractor’s Pollution Liability coverage with minimum limits of $1,000,000 each accident and $2,000,000 aggregate.
If you are performing construction services, the aggregate liability limits shall be endorsed to apply on a per project basis.
If you are performing construction services, you must continue to carry Completed Operations coverage for all Liability policies for at least seven (7) years following substantial completion of your work, or for the duration of the applicable Statute of Repose, whichever is longer.
If your services involve pyrotechnics, mechanical amusement devices, inflatable amusement devices, animals of any type (including petting zoo or pony rides) or any other services that the City of Erlanger deems applicable, you must also provide a Commercial Umbrella policy with a minimum limit of $1,000,000.
If your services include the sale of alcohol, you must also provide evidence of Liquor Liability Coverage with a minimum limit of $1,000,000.
If your services are professional in nature, such as architectural, engineering, consulting or legal, you must also provide evidence of Professional Liability coverage (also known as Errors and Omissions coverage) with a minimum limit of $1,000,000.
All of the insurance requirements mentioned must be provided with carriers rated A- or better by A.M. Best.

The Contractor shall not commence any of the Work of the Contractor until the City is satisfied with and has approved all of the insurance policies and endorsements required hereby and has received certificates evidencing that the Contractor is insured thereby.

The Contractor must also provide a current W-9 form and occupational license.

4.0 Quality of Contractor’s Work

The Contractor shall and hereby agrees that all of the Work of the Contractor shall be of superior quality.

5.0 Contractor’s Protection of Work

Until the Work of the Contractor is accepted and paid for by the City, the Contractor shall and hereby agrees to protect the finished and unfinished Work of the Contractor against any damage, loss or injury; and in the event that any damage, loss or injury occurs to any of the Work of the Contractor for which the Contractor has not been paid, the Contractor shall promptly replace or repair that work, whichever the City determines to be appropriate in the circumstances, in the sole and absolute discretion thereof.

6.0 Contractor’s Compliance with Other Laws

In the performance of the Work of the Contractor, the Contractor shall and hereby agrees that it and all of its subcontractors shall comply with all of the regulations and other requirements of the state and federal Agencies and also comply with Chapters 337, 338, 339, 341, 342, and 344 of the Kentucky Revised Statutes; and all the provisions of the Federal Americans with Disabilities Act and the regulations of the Federal Employee Opportunity Commission in regard thereto. In addition, the Contractor shall comply with prevailing wage laws.

7.0 Contractor’s Indemnification of City

The Contractor shall indemnify and hold the City and the officers, agents, employees and volunteers thereof, harmless from each, every, any and all losses, expenses, costs, compensation, and other damages of every kind and nature, and all claims, demands and causes of action for them, both at law and in equity, including, without limitation, liens of mechanics and materialmen, third party actions and actions for contribution and/or indemnification, which are in any way related to the acts or omissions of the Contractor or the officers, agents, employees and volunteers thereof in regard to the Project.

8.0 Payments to Contractor

For the Work of the Contractor that has been approved and accepted by the City on a monthly based cycle, the City shall and hereby agrees to pay the Contractor monthly progress payments in the following manner:

8.1 Progress payments will be made on a monthly based cycle as per completed work quantity percentages. A 5% retainage will be withheld from each payment and released upon final acceptance of work. Final payment will only be processed after the City receives Contractor’s Affidavit of Release of Liens from all project subcontractors.

9.0 Contractor’s Responsibility

9.1 Extra cost incurred during construction operations due to inclement weather conditions are at the contractor’s expense.

9.2 It shall be the Contractor’s responsibility to notify all appropriate governing agencies for inspection. The amount of advance notice should be coordinated with each agency.

10.0 Interference with Traffic and Private and Public Property

10.1 The Contractor at all times shall dispose his plant and conduct the work in such manner as to cause as little interference as possible with private business or with private property and public travel on the public highway. All damage (other than resulting from normal wear and tear) to existing roads or pavements shall be repaired to as good condition as they were prior to the beginning of the work and to the satisfaction of the City.

10.2 The Contractor shall wherever necessary or required provide and maintain proper barricades, fences, danger signals, signs, and light, provide a sufficient number of watchmen, and take such other precautions as may be necessary to protect life, property, adjacent buildings, and structures.

The Contractor shall be liable for and hold the Owner free and harmless from all damages caused in any way by his act or neglect or that of his agents, employees, or workmen.

10.3 Where the Contractor finds it necessary to remove excavated material to some other location, care should be taken not to overload trucks which would in turn spill material out upon highways. Any such material supplied on highways shall be immediately cleaned up from the location and disposed of.

10.4 Where it is necessary and is agreeable with the public and private property owners, excavated materials may be temporarily piled in the streets or roadways; however, one lane of traffic must be maintained at all times.

10.5 The Contractor shall comply with any regulations requested by State or Federal Highway Officials when construction is within their rights of way. After excavated materials have been removed, all hard surface streets or roadways shall be thoroughly cleaned and left free of dirt and dust. Streets or roadways which do not have surfaces must be restored to their original condition at the expense of the Contractor. By no means will the Contractor be permitted to store excavated materials in streets or roadways overnight. Whether excavated materials are stored in the street or not, the Contractor shall at his own expense keep all streets or roadways free of all dirt and dust.

11.0 Miscellaneous Provisions

11.1 Governing Law

This Agreement shall be interpreted, construed and governed by Kentucky law.

11.2 Severability

If any provision of this Agreement shall be determined by a Court of competent jurisdiction to be invalid and enforceable, such determination shall not affect the validity or enforceability of the remaining provisions of this Agreement, all of which shall remain in full force and effect.

11.3 Assignability

This Agreement may not be assigned by the BIDDER without the written consent of the City.

11.4 Amendment

This Agreement may be amended only by a written agreement signed by the City and the BIDDER.

11.5 Prior Agreements

This Agreement constitutes the entire agreement and understanding between the BIDDER and the City in regard to the subject matter thereof; and it supersedes all prior agreements, representations and understandings between them, written or oral.

11.6 Headings

Headings of the paragraphs and subparagraphs of this Agreement have been inserted for convenience of reference only, and shall in no way affect the interpretation of, restrict or otherwise modify any of the terms and provisions hereof.

11.7 Waiver

No consent to or waiver by either Erlanger or Recipient of any breach or default of any provision of this agreement by the other, whether expressed or implied, shall constitute or be interpreted as a consent, waiver or excuse for any other subsequent breach or default of the same or any other provision of this Agreement.

11.8 Notices

All notices required by the provisions of this agreement shall be in writing and e-mailed, as follows, unless otherwise provided by any signatory to this agreement to all other signatories.
