Between The City of Erlanger and T-Mobile Central LLC
This Memorandum of Understanding (“MOU”) is entered into as of __________, 2026 (“Effective Date”), by and between The City of Erlanger (“Grantor”) and T-Mobile Central LLC (“Grantee”).
1. Purpose
This MOU is intended to supplement that certain Easement Agreement entered into between the parties for property located in Erlanger, Kenton County, Kentucky as of the Effective Date, and to further clarify certain site maintenance and improvement responsibilities of the Grantee.
2. Vegetation Removal
Grantee agrees that it shall, at its sole cost and expense, remove all overgrown vegetation located on and around the site associated with its leased property adjacent to the Easement Area.
All vegetation removal shall be completed within one hundred twenty (120) days or sooner of the Effective Date of the Easement Agreement, unless otherwise agreed in writing by the parties.
3. Fence Replacement
Grantee agrees that it shall install a new privacy fence surrounding its cell tower site located on the adjacent leased property.

43. Secured Bids
Grantee acknowledges and represents that it has already secured bids for the fence replacement work, and agrees to proceed diligently toward completion of the project within the timeframe set forth herein.
4. No Conflict
This MOU is intended to supplement the Easement Agreement. In the event of any conflict between this MOU and the Easement Agreement, the terms of the Easement Agreement shall control unless expressly stated otherwise.
5. Entire Understanding
This MOU represents the entire understanding between the parties regarding the subject matter herein and may only be amended by a written document signed by both parties.
